1.Introduction
Eddytor is a proprietary Master Data Management (MDM) platform delivered as a Software-as-a-Service (SaaS). The Service enables organisations to create, configure, read, update, and delete tables from object stores using Lakehouse technology, with features including audit control, time-travel capabilities, schema evolution, and column constraints, for data stored in Azure Blob Storage, Amazon S3, Google Cloud Storage, an Eddytor-hosted sandbox in AWS eu-west-1, or other supported storage providers.
By accessing or using the Service through our web interface, APIs, CLI, MCP interface, or any other means, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms and you acknowledge that you have read and understand our Privacy Policy.
Eddytor reserves the right to modify these Terms at its discretion. Eddytor will provide at least 30 days' notice of any change to these Terms, by email or by posting a notice within the Service or on www.eddytor.com. If you do not agree to, or cannot comply with, the modified Terms, you must stop using the Service before the changes take effect. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of those changes.
If you are agreeing to these Terms not as an individual but on behalf of your company, government, or other entity for which you are acting (for example, as an employee or government official) then "you" means your entity and you are binding your entity to these Terms. If you do not have such authority or if you do not agree with these Terms, do not accept these Terms and do not use the Service.
If you are an individual consumer with your habitual residence in a Member State of the European Union or in the United Kingdom, by signing up and beginning to use the Service immediately, you expressly request that performance of the Service begin during the statutory withdrawal period and you acknowledge that, once performance has begun with your consent, your right of withdrawal will be lost as performance is completed.
2.The Service
2.1Service Description
Eddytor provides a cloud-based Master Data Management platform accessible via:
- Web application at app.eddytor.com (and related subdomains)
- REST APIs
- gRPC APIs
- Command-line interface (CLI)
- Model Context Protocol (MCP) interface
The Service allows you to connect to your own object storage infrastructure ("BYO storage") and manage Lakehouse tables through our platform. You may also opt to use the Eddytor-hosted sandbox (AWS eu-west-1, Ireland) instead of connecting your own object store.
2.2Right to Use
Eddytor grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the Service solely for your personal or internal business use in accordance with the terms of this Agreement. Your rights will end when these Terms are terminated.
2.3Proprietary Software
The Service is powered by proprietary, closed-source software. It is NOT open-source. The source code, architecture, algorithms, APIs, and all technical implementations are trade secrets of Eddytor and are not available for inspection, modification, or distribution under any circumstances.
2.4Account Registration
To use the Service, you must register for an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised use
- Accept responsibility for all activities under your account
- Not create multiple accounts to circumvent the limits of the Free plan or any trial
2.5Service Availability
We aim to provide reliable access to the Service on a best-effort basis but do not currently guarantee any service level. We may perform maintenance, updates, or modifications that temporarily affect access. No SLA is offered at this time.
2.6Beta and Preview Features
From time to time we may make beta, preview, or experimental features available. Such features are provided "as is", may change or be withdrawn at any time, are excluded from any service-level expectation, and are used at your own risk.
3.Proprietary Rights and Non-exclusivity
The Service and its underlying software are licensed, not sold. You acknowledge and agree that Eddytor and its licensors have and retain all legal rights, title, and interest in the Service, including but not limited to:
- All source code, object code, and executable code powering the Service;
- All software architecture, system designs, APIs, and technical implementations;
- Any ideas, concepts, inventions, systems, platforms, interfaces, patents, utility models, designs and any other industrial property rights and all improvements thereto;
- All registrations, applications, renewals, extensions, continuations, divisions, or reissues now or in the future;
- Trade marks, trade name rights and similar rights;
- Copyrights and other rights associated with works of authorship;
- Tools, utilities, user interface, algorithms, logic, formula, scripts, workflows, processes, software, methodologies, databases, know-how, trade secrets and other technology and information;
- Any and all intellectual property rights that exist therein;
- Any tools, features, and functionalities that leverage artificial intelligence technologies;
- Any aggregated usage data, analytics, and performance metrics (excluding Your Content);
whether registered or not, and wherever in the world they may exist.
As between you and Eddytor, Eddytor shall retain all legal right, title and interest in the Service and all Content excluding Your Content. Eddytor reserves all rights in and to the Service and Content that it does not expressly grant you in these Terms. This Agreement does not grant you any ownership rights to the Service or access to its source code.
4.Your Content and Data Ownership
4.1Definition of Your Content
"Your Content" means all data, tables, schemas, configurations, queries, and any other content that you create, upload, store, or manage using the Service. This includes all data stored in your connected object stores (Azure Blob Storage, Amazon S3, Google Cloud Storage, or other supported providers) and any data you place into the Eddytor-hosted sandbox.
4.2You Own Your Content
4.3License to Provide Services
To provide the Service's functionality, you grant Eddytor a limited, non-exclusive license to:
- Access your connected object stores using the credentials you provide
- Read, process, and write data as directed by your actions in the Service
- Execute queries, data operations, and schema changes you request
- Forward the data necessary to fulfil an AI Action to the LLM provider you have selected
This license is solely for the purpose of providing the Service and terminates when you stop using the Service or revoke access.
4.4What We Do NOT Do With Your Content
Eddytor does NOT:
- Store copies of Your Content on our servers, except for content you place into the Eddytor-hosted sandbox
- Use Your Content to train, fine-tune, or evaluate machine learning or AI models
- Sell, rent, or share Your Content with third parties
- Access Your Content except to perform operations you request
- Retain Your Content after your session ends, except for sandbox content while your sandbox is active
- Analyse Your Content for any purpose other than providing the Service
4.5Data Portability
Your Content is stored in open, industry-standard Lakehouse table formats in object stores you control (BYO) or in the Eddytor sandbox from which you can export at any time. Your Content is not locked into our platform.
4.6Responsibility for Your Content
You are solely responsible for:
- The legality of Your Content
- Ensuring you have the right to store and process Your Content
- Backing up Your Content
- Compliance with data protection regulations applicable to Your Content
5.Storage Connections
5.1Storage Options
The Service connects either to object storage infrastructure that YOU own and control ("BYO storage"), or to the Eddytor-hosted sandbox in AWS eu-west-1 (Ireland). For BYO, Eddytor does not provide storage; we provide tools to manage data in YOUR storage.
5.2Supported Storage Providers
The Service supports connections to:
- Microsoft Azure Blob Storage
- Amazon Web Services S3
- Google Cloud Storage
- Eddytor-hosted sandbox (AWS eu-west-1, Ireland)
- Other providers as documented
5.3Credentials
You are responsible for providing valid credentials to connect to your storage. Eddytor encrypts and securely stores these credentials in Supabase Vault but is not responsible for:
- The security of your storage infrastructure
- Access controls within your storage provider
- Costs associated with your storage usage
5.4Sandbox Lifecycle
Sandbox Content is retained while your sandbox is active and is deleted immediately upon cancellation or downgrade away from the sandbox. You are responsible for exporting any data you wish to retain prior to cancellation. The sandbox is intended for evaluation, development, and small workloads; quotas may apply and are documented in-app.
6.APIs, CLI, MCP, and AI Integrations
6.1API, CLI, and MCP Access
Access to our REST APIs, gRPC APIs, CLI, and MCP interface is subject to these Terms. We may provide documentation, SDKs, or other tools to facilitate integration. The CLI and MCP interface are supported interfaces to the Service and are governed by the same usage rules as the web application and APIs.
6.2Rate Limits
We may impose rate limits on API, CLI, and MCP usage. Exceeding these limits may result in temporary or permanent restriction of access.
6.3API Changes
We may modify, deprecate, or discontinue APIs or interfaces with reasonable notice. We will endeavour to maintain backward compatibility where practical.
6.4API Keys and Authentication
You are responsible for maintaining the security of your API keys and authentication tokens. You must not share these credentials or expose them in client-side code.
6.5LLM Providers and AI Actions
The Service supports AI Actions ("magic dust") and other AI-driven features by connecting to LLM providers selected by you, including OpenAI, Google Gemini, Anthropic Claude, and self-hosted Ollama endpoints.
You are responsible for:
- Selecting and configuring your LLM provider
- The agreement and any fees between you and your selected LLM provider
- The keys, tokens, and credentials you provide to authenticate to that provider
- The actions taken by AI agents you build, deploy, or operate using the Service, CLI, or MCP interface, including any destructive operations against Your Content
Eddytor is not a party to your agreement with any third-party LLM provider and accepts no liability for the LLM provider's processing, retention, or use of data submitted to it on your behalf. The only exception is where you use a local Ollama instance that Eddytor itself hosts and maintains on your behalf, in which case Eddytor is responsible for the operation of that local model in line with these Terms and our Privacy Policy.
6.6Integrating Eddytor in Agent Flows
You are permitted to integrate Eddytor (via APIs, CLI, or MCP) as a component of AI agent flows, automations, or internal tooling, subject to Section 8.
7.Subscription and Payments
7.1Subscription Plans
Access to the Service requires a subscription. Plans, pricing, and features are described on our website. The current plans include a Free plan, a Team plan billed monthly or annually, and an Enterprise plan with custom pricing.
7.2Payment Processing
Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
7.3Pricing and VAT
All prices are stated exclusive of VAT unless otherwise indicated. Applicable VAT will be added at checkout based on your location and VAT registration status. Customers registered for VAT in an EU Member State other than Denmark may be eligible for the reverse-charge mechanism.
7.4Billing and Auto-Renewal
- Subscriptions are billed in advance on a recurring basis (monthly or annual, depending on the plan you choose).
- Subscriptions automatically renew at the end of each billing period at the then-current price for the same plan, until cancelled. By subscribing, you authorise us to charge your payment method for each renewal until you cancel.
- We will provide notice before annual auto-renewals where required by applicable EU consumer law.
- You authorise us to charge your payment method for all fees due.
- Prices may change with 30 days' notice.
7.5Cancellation and Refunds
You may cancel your subscription at any time via the App. Upon cancellation:
- You retain access until the end of your billing period
- Your Content stored in your own object stores is unaffected
- Sandbox Content is deleted immediately upon cancellation or downgrade away from the sandbox
- No refunds are provided for partial billing periods unless required by mandatory law
7.6Trial Period
We may offer a 14-day trial of the Team plan. At the end of the trial, you will be charged unless you cancel before the trial ends. The Free plan is not a trial and is provided indefinitely subject to these Terms; Free plan users are limited to sandbox-mode operation.
7.7Consumer Right of Withdrawal (EU/UK)
If you are a consumer in the EU or UK and we have begun performance of the Service immediately upon your request and with your express consent at sign-up, your statutory right of withdrawal is lost upon completion of performance, in accordance with Article 16(a) of Directive 2011/83/EU and equivalent UK provisions. You retain the right to access and export your data at any time.
8.Acceptable Use and Restrictions
You agree NOT to:
- Attempt to access, view, decompile, or obtain the source code of the Service;
- Reverse engineer, disassemble, or decode any part of the Service;
- Circumvent or disable any security features of the Service;
- Use the Service for any illegal or unauthorised purposes;
- Resell, sublicense, or otherwise commercialise the Service or any product or service built on top of the Service, in whole or in part, without prior written permission from Eddytor;
- Build, distribute, or operate any new interface, wrapper, proxy, or front-end on top of the Service or its APIs, CLI, or MCP interface, unless expressly permitted in writing by Eddytor;
- Scrape, data mine, extract, duplicate or otherwise copy any features, functions or user interfaces of the Service without authorisation;
- Use the Service for the purposes of developing competing products or services;
- Use the Service or APIs to develop, train, fine-tune, or evaluate AI models without explicit written permission;
- Engage in activities that degrade, overburden, interfere with or restrict the use and operation of the Service, including denial of service attacks or similar activities;
- Exceed rate limits or attempt to circumvent usage restrictions;
- Introduce any malicious code, virus, malware, or any other material that disrupts the Service;
- Upload or process any Content that is unlawful, harassing, threatening, harmful, defamatory, abusive, violent, obscene, or otherwise objectionable;
- Use the Service in connection with spam or for spamming purposes;
- Share account credentials or API keys with unauthorised parties;
- Create multiple accounts to circumvent Free-plan limits, trial periods, or any prior suspension;
- Use the Service from any jurisdiction subject to EU sanctions, or in any manner prohibited by EU sanctions law, or for the benefit of any sanctioned person or entity.
You may, however, integrate Eddytor as a component within your own AI agent flows, automations, or internal tooling — Eddytor's APIs, CLI, and MCP interface are designed to be used in this way, subject to all of the restrictions above.
Misuse of any Eddytor interface (web, REST, gRPC, CLI, MCP) may result in suspension or permanent termination of access across all interfaces, without refund. Any violation of this Section may result in immediate termination of this Agreement and may subject you to legal action.
9.Updates and Support
Eddytor may provide updates, modifications, or new features to the Service at its sole discretion. Support availability depends on your subscription plan. We are not obligated to provide support, maintenance, or updates unless specified in your subscription agreement.
10.Additional Features
Eddytor may from time to time release additional features of the Service. Use of these features may be subject to payment of additional fees and other terms as prescribed by Eddytor.

13.Indemnification
13.1By You
You agree to defend, indemnify, and hold harmless Eddytor, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:
- Your Content, including any claim that Your Content infringes a third party's intellectual property rights, violates applicable law, or breaches any third party's rights;
- Your use of the Service in violation of these Terms;
- The actions of any AI agent, automation, or system you build, deploy, or operate using the Service or its interfaces;
- Your breach of any law or regulation.
13.2By Eddytor
Eddytor will be responsible for losses caused by Eddytor's own infringement of a third party's intellectual property rights through the Service itself, or by Eddytor's hosting of unlawful content of its own creation, subject to the limitations in Section 12. Eddytor's responsibility under this Section 13.2 does not extend to Your Content, to LLM provider outputs, or to losses arising from your acts or omissions.
14.Force Majeure
Neither party will be liable for any failure or delay in the performance of its obligations under these Terms (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbance, fire, flood, earthquake, pandemic, governmental action, labour disputes, internet or telecommunications failures, or third-party infrastructure failures.
15.Subprocessors and Data Processing
Eddytor uses subprocessors to deliver the Service. The current list is published at https://www.eddytor.com/subprocessors and we will provide at least 30 days' notice before adding or replacing a subprocessor. A self-service Data Processing Agreement (DPA) is available to all paid customers (Team and Enterprise plans). Where required by law, the DPA forms part of these Terms.
We cannot be held liable for the independent acts of a subprocessor, but we will take action to terminate or replace any subprocessor that materially breaches GDPR, sells personal data, or commences training on customer data without authorisation, as soon as commercially reasonable.
16.Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately without notice from Eddytor if you (i) fail to comply with any of its terms, (ii) it is required to do so under law, or (iii) Eddytor decides to discontinue the Service, subject to giving 14 days' notice.
Upon termination:
- Your access to the Service will be revoked
- Your account will be deactivated and account data deleted, except as required to recover any outstanding payment owed to Eddytor
- Your Content stored in your own object stores remains yours and is completely unaffected
- Sandbox Content is deleted immediately
- You retain full access to Your Content through your storage provider (BYO)
- Stored credentials for your object stores and LLM providers will be deleted from our systems
17.Publicity Rights
We will only identify you as an Eddytor customer in our promotional materials with your prior opt-in consent. You may withdraw that consent at any time by emailing support@eddytor.com.
18.Sanctions and Export
You represent and warrant that you are not located in, and will not use the Service from, any jurisdiction subject to EU sanctions, and that you are not a person or entity listed on any EU sanctions list. You agree not to use the Service in any manner that would cause Eddytor to violate EU sanctions law.
19.Governing Law
This Agreement will be governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-laws principles. Any disputes arising from or related to this Agreement will be resolved in the courts of Denmark, subject to any mandatory consumer-protection rules of your country of residence.
20.Notices
Notices to you may be given by email to the address associated with your account or by posting within the Service. Notices to Eddytor must be sent to legal@eddytor.com.
21.Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Eddytor's prior written consent. Eddytor may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
22.Severability and No Waiver
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
23.Entire Agreement
This Agreement, together with the Privacy Policy, the subprocessor list, and any DPA executed between the parties, constitutes the entire understanding between you and Eddytor regarding your use of the Service and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter.
